Both parties consent to personal jurisdiction and venue in such courts and waive any defenses regarding them. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly included in these Legal Terms. All claims must be initiated within one (1) year from the date the cause of action arises.

You agree to defend, indemnify, and hold harmless Greymatter Solutions, its subsidiaries, affiliates, and respective officers, agents, and employees from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of: (1) your use of the Services; (2) your breach of these Legal Terms; (3) any breach of your representations and warranties; (4) violation of the rights of any third party, including intellectual property rights; or (5) any harmful acts towards other users. We reserve the right to assume exclusive defense and control of any matter for which you are obligated to indemnify us, and you agree to cooperate with our defense of such claims.

While we perform routine backups, you are solely responsible for all data you transmit. We shall not be liable for any loss or corruption of data, and you waive any right of action against us arising from such loss.
